BUSINESS POLICY:

This business policy (hereinafter referred to as the “Policy”)  (collectively referred to as the “Policy”).

Whereas, the Partner (BROADPOSTA INC) agrees to pursue the outsourcing & management of the Idea, Setup and/or Management offered by the Principal Client.

The Principal Client authorizes the Partner (BROADPOSTA INC) to outsource the offered organisation on behalf of the Principal Client and the Partner agrees to indemnify as the authorized Partner of the Principal Client for such business transactions.



Recruitment 
The Parties agree that the outsourcing of the candidates will be set by the Partner in line with the recruitment
needs of the Principal, that the Principal will obtain and provide the promotional materials (if any) for the
Partner to use and the Parties will set the terms of the Contract Policy to the Partner for the Partner to use
in the recruitment of staff
.



Term
This Policy shall be effective on the date of signing the Contract document (hereinafter referred to as the
“Effective Date”) and will run for a duration of 5, 3, 2,or1yr, starting from the date of commencement and
contract payment of professional or pre-set-up fee.

The term of this Policy may be extended upon the provision of written consent from both Parties.

Office Location
This Policy states that the Partner (BROADPOSTA) will conduct the operational activities of the in-coming agency at
BROADPOSTA INC (office) situated at 5000 Yonge Street, Suite 1901, North York, ON, Canada, M2N 7E9,
any other geographical area, territory or any other agreed office location deemed viable.




Finance
The Policy hereby states that a dedicated and exclusive account be opened for the Agency by
the Principal in a neutral bank with no prior banking relat
ionship.

This agreement also states that both parties will be responsible for providing financial investments including but not limited to loans and credits, required for the growth and sustainability of the shared company including but not limited to staff salary payments, 

This agreement also states that both parties provide financial supports, admits responsibilities, losses & forfeitures, gains & profits, duties & labour, equal to agreed sharing  respectively, from the date this agreement is signed to the date this contract is terminated or closed.

The said account must reflect the mandate of both parties of which either must view and either must sign.

This Policy hereby states that 10% of net profit be set aside for operational and administrative purposes and managed by the Partner (BROADPOSTA), while the balance remaining from the net profit is allotted to both parties of which
60% goes to the Principal
 and 30% goes to the Partner (BROADPOSTA) respectively.



Exports & Imports
This policy expresses the relevance of moving Small and Medium Sized Enterprises (SMEs) from obscurity to global visibility, setting up and managing their affairs, especially in the area of product branding, international packaging standards, international government export and import policy adherence, launching and marketing of exportable and importable branded products in to all the existing multilingual and international market places.  



*BroadPosta Contract Policy for Fine Artists*

*1. Physical Original Works:*

*1.1 Freight Cost:*
Upon receipt of payment by a client online, BroadPosta shall deduct 30% from the total sales price of the original artwork to cover freight costs from the Artist's location to the buyer's location. This 30% shall be remitted to the Artist immediately following payment by the client, and the artist takes full responsibility for the frighting of the work to the buyer through BroadPosta official shipping lines

*1.2 Seller's Share:*
BroadPosta shall retain 20% of the total sales price of the original artwork as the seller's share.

*1.3 Artist's Share:*
The remaining 50% of the total sales price of the original artwork shall be paid to the Artist immediately following confirmation of receipt of the artwork by the recipient.

*2. Virtual Prints:*

*2.1 Revenue Sharing:*
For virtual prints, BroadPosta shall retain 20% of the total sales price, and the Artist shall receive 50%.

*2.2 Printing, Framing, and Freighting:*
BroadPosta shall deduct 30% from the total sales price of the virtual prints to cover printing, framing, and freighting expenses. This deduction shall be made prior to revenue sharing.

*3. Term and Termination:*
This Agreement shall commence on the date of signing and shall remain in effect until terminated by either party with 30 days' written notice.

*4. Governing Law:*
This Agreement shall be governed by and construed in accordance with the laws of the province of Ontario, Canada.





Relationship Of The Parties
Hereby, the Parties agree that this is a non-exclusive agreement and that the Parties are regarded as
independent contractors.
CONFIDENTIALITY
All terms and conditions of this Agreement and any materials provided during the term of the Agreement must
be kept confidential, unless the disclosure is required pursuant to process of law.
Disclosing or using this information for any purpose beyond the scope of this Agreement, or beyond the
exceptions set forth above, is expressly forbidden without the prior consent of the Client.
This section will remain in full force even after the termination of this Agreement for a period of one month.




Termination
This Agreement may be terminated in the event that any of the following occurs:
1. Immediately, in the event that one of the Parties breaches this Agreement.
2. At any given time by providing written notice to the other party 14 days prior to terminating the Agreement.
3. Upon terminating this Agreement, the Partner will be required to return all the Principal’s materials and/or
any other content (if any) at his/her earliest convenience, but not later than 30 days. after a satisfactory completion of all outstanding payments and/or material refunds.
BroadPosta does not refund setup fees.




Representation And Warranties
The Parties agree and disclose that they are fully authorized to enter this Agreement. The performances and
obligations of both Parties may not violate the rights of any third party or violate any other agreement made
between them and/or any other organization, person, business or law/governmental regulation.




Severability
In the event that any provision of this Agreement is found to be void and unenforceable by a court of
competent jurisdiction, then the remaining provisions will remain in force in accordance with the Parties’
intention.



Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Canada.


Alternative Dispute Resolution
Any dispute or difference whatsoever arising out of, or in connection with, this Agreement shall be submitted
to arbitration/mediation/negotiation (circle one) in accordance with, and subject to the laws of Canada.



Amendments
The Parties agree that any amendments made to this Agreement must be in writing, where they must be signed
by both Parties to this Agreement.
As such, any amendments made by the Parties will be applied to this Agreement.
ASSIGNMENT

The Parties hereby agree not to assign any of the responsibilities in this Agreement to a third party, unless such
is consented to by both Parties in writing.



Guarantee
With our 10,000+ Local & International Registered SMEs, we guarantee success in stands when all payment & requirements are timely met by the applying client  without fail and the time frame for achieving our guarrantee is 10 years


Entire Policy
This Policy contains the entire policy and understanding among the Parties hereto with respect to the subject matter hereof, 

Express or implied, oral or written, of any nature whatsoever with respect to the subject matter hereof. The express terms hereof control and supersede any course of performance and/or usage of the trade inconsistent
with any of the terms hereof.



Signatures And Date
This signature and date policy states that the terms, conditions & agreements set forth in this business policy acts and demonstrates the equivalent full signatures of all relevant parties.
